MORRIS, LENDAIS, HOLLRAH & SNOWDEN is a general and commercial practice law firm based in Houston, Texas with an emphasis on real estate related matters. 

 

 The firm provides a broad range of legal services to companies and individuals doing business domestically as well as to companies and individuals whose business activities are international in scope.  Our clients include residential home and commercial builders, real estate developers, banks, mortgage lenders, manufacturers, construction companies, medical doctors, title insurance companies, relocation companies, oil and gas business related companies, freight forwarders, insurance adjusters, investors, import/export companies, and others.

Real Estate

 

 Our experience ranges from assistance in the acquisition and development of major projects down to the purchase of private residences and raw land. We also represent relocation companies in all aspects of acquisition and disposition of properties on behalf of their clients. 

 

 For several years the firm has had significant representation of builders and developers in all aspects of real estate projects, which representation includes assisting the developer in the choice and organization of an appropriate development entity, negotiating equity and short term and long term debt financing, preparing and negotiating construction and professional contracts, preparing and negotiating leases and sale documents, and furnishing general legal advice.

General Business and Commercial

 

 Our firm advises clients as to the most appropriate forms of organization for their business requirements and handles acquisitions, mergers and other forms of capital formation and reorganizations.  Special emphasis is given to structuring transactions and developing business solutions.  Our attorneys assist in the preparation and planning of corporations, limited liability companies and general and limited partnerships, including partnerships related to real estate investments and joint ventures with foreign partners.

 

 We can assist clients in analyzing all types of commercial and real estate and lending transactions. Our attorneys are experienced in negotiating and preparing contracts, licensing agreements, distributorship and sales arrangements, representation agreements and franchising agreements.  As a service to international business clients, we provide immigration advice for foreign investors and business executives.

Litigation

 

 The firm has a strong and active litigation section that represents clients in abroad range of civil litigation, particularly in lawsuits involving contractual, real estate, commercial and insurance matters, in both state and federal courts, including the bankruptcy courts. Our litigation attorneys also help handle claims before they move to the level of litigation.  Our litigation attorneys also handle arbitrations and appeals.

Real Estate Document Preparation 

 

 We offer a wide range of legal services to individuals, title companies, businesses and state and national banks, mortgage bankers, international financial institutions, and other financial institutions and their controlling stockholders for all matters related to preparation of reals estate conveyancing documentation and closing of real estate transactions for buyers, sellers and lenders, including:

 

  • the documentation of all manner of residential loans and in all matters relating to compliance with governmental regulations affecting the mortgage lending industry;

 

  • negotiating, structuring, documenting, and closing a variety of secured and unsecured loans, including real estate acquisition loans, construction loans, commercial lines of credit, and corporate acquisition loans;

 

  • negotiation and documentation of loans for the development and construction of office buildings, shopping centers, apartment buildings, condominiums, hotels, home and town-home developments, subdivisions, and special purpose developments;

 

  • commercial and residential loan workouts, including the negotiation and documentation of settlement and modification agreements;

 

  • representation of secured and unsecured creditors in processing and conducting non-judicial foreclosures of real estate liens and personal property security interests,general collection activities and actions, including litigation and pre-judgment and post-judgment remedies, and bankruptcy and other creditors' rights laws.
